1. Acceptance of Terms

By accessing or using TidyIntake ("Service"), operated by whisc inc. dba TidyIntake, Inc. ("Company," "we," "us"), you ("User," "you") agree to these Terms of Service ("Terms"). If acting on behalf of an organization, you represent authority to bind that organization.

If you do not agree, you must not use the Service. Continued use after modifications constitutes acceptance.

2. Definitions

"Service" — the TidyIntake cloud-based legal intake CRM, including features, APIs, integrations, and documentation.

"Customer Data" — all data submitted by you or your users: lead records, client info, case data, communications, documents.

"Subscription" — your selected plan including tier, seats, and billing cycle.

"AI Features" — AI capabilities including case scoring, attorney summaries, intake copilot, and risk detection.

3. Account Registration & Security

3.1 Account Creation

You must provide accurate, current information and update it promptly if it changes.

3.2 Security

You are responsible for credential confidentiality and all account activity. Notify us immediately of unauthorized access at security@tidyintake.com.

3.3 User Seats

Additional users are authorized per your plan. Each seat is for a single named individual and may not be shared.

4. Subscription & Payment

4.1 Pricing

Plans and pricing are listed on our pricing page. Prices are in USD, exclusive of applicable taxes.

4.2 Free Trial

Trial accounts convert to paid at trial end unless cancelled. No credit card required to start.

4.3 Billing

Billed in advance, monthly or annually. We accept major credit cards and ACH. All fees are non-refundable except as required by law.

4.4 Price Changes

30 days' written notice for price changes. Changes take effect at your next billing cycle.

4.5 Late Payments

Access may be suspended after 15 days overdue, following 10 days' written notice. Reactivated upon payment of all outstanding amounts.

5. Acceptable Use Policy

You shall not:

  • Violate applicable laws, including UPL regulations
  • Upload unlawful, defamatory, or harassing content
  • Attempt unauthorized access to the Service or connected systems
  • Reverse engineer, decompile, or derive source code
  • Send spam or violate CAN-SPAM, TCPA, or similar laws
  • Share or resell access without written consent
  • Use AI Features to provide legal advice to end clients
Important: AI output is an informational aid for licensed attorneys only. It does not constitute legal advice.

6. Data Ownership & Processing

You own your data. We do not claim ownership of any Customer Data.

6.1 Processing

We process Customer Data solely to provide the Service per our Privacy Policy. We act as data processor and will execute a DPA upon request.

6.2 Portability

Export your data anytime. After termination you have 30 days before permanent deletion.

6.3 Security

Encryption in transit (TLS 1.3) and at rest (AES-256), role-based access controls, audit logging, regular security assessments.

6.4 Subprocessors

14 days' notice before new subprocessors begin processing Customer Data.

7. Intellectual Property

The Service is owned by TidyIntake, Inc. Your Subscription grants a limited, non-exclusive, non-transferable license during the term.

Feedback you provide grants us a royalty-free, perpetual license to use it to improve the Service.

8. AI Features & Limitations

AI output is advisory only. All AI content must be reviewed by a licensed attorney before legal decisions.

8.1 Accuracy

AI may produce incorrect, incomplete, or outdated information. No warranties on AI accuracy or completeness.

8.2 Data Usage

Customer Data processed by AI generates output for your account only. We do not use Customer Data to train general-purpose AI models.

9. Service Level Agreement

99.9% uptime commitment measured monthly, excluding scheduled maintenance (48-hour advance notice).

Service credits: 99.0–99.9% → 10%; 95.0–99.0% → 25%; below 95% → 50%. Credits cap at 50% of monthly fees.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW: The Service is provided "AS IS" without warranties. We are not liable for indirect, incidental, special, consequential, or punitive damages. Total liability shall not exceed amounts paid during the 12 months preceding the claim.

11. Indemnification

You indemnify TidyIntake, Inc. from claims arising from: (a) your use of the Service; (b) breach of these Terms; (c) violation of third-party rights; (d) Customer Data you submit.

12. Termination

By You

Cancel anytime via account settings. Takes effect at billing period end.

By Us

We may suspend or terminate for breach, non-payment, or legal requirement, with reasonable notice.

30 days after termination to export data. Then permanently deleted.

13. Dispute Resolution

Governing Law: State of Delaware.

Arbitration: Binding arbitration via AAA Commercial Rules, Wilmington, Delaware.

Class Action Waiver: Disputes resolved individually only.

Exception: Injunctive relief for IP protection in any competent court.

14. Changes to Terms

30 days' notice of material changes via email or in-app notification. Continued use constitutes acceptance.
